Terms of Service

The agreement between you and Black Hills Pro. Written to be readable, but see the notice below.

1. Agreement to these terms

By creating an account or using Black Hills Pro (the "Service"), operated by Cerplas Thai Co. Ltd. ("we", "us"), you agree to these terms. If you don't agree, don't use the Service. If you use it on behalf of a business, you confirm you're authorized to accept these terms for it.

2. What the Service is

Black Hills Pro reads your Amazon selling data and combines it with costs you enter to estimate and report your profit, fees, refunds, payouts, and inventory. It is an analytics and reporting tool. It is not accounting, tax, legal, or financial advice, and some figures (clearly labeled) are estimates until Amazon settles the underlying transactions. Always confirm important numbers against your own Amazon reports and your accountant before relying on them.

3. Your Amazon connection

  • You authorize us to access your Amazon data through Amazon's official APIs, on a read-only basis, to provide the Service.
  • You remain responsible for complying with Amazon's own agreements and policies. Nothing here overrides them.
  • You can disconnect at any time in Settings, or revoke our access from your Amazon Seller Central account.

4. Your account

  • Keep your login credentials secure; you're responsible for activity under your account.
  • Provide accurate information and keep it current.
  • You must be at least 18 and able to form a binding contract.

5. Acceptable use

You agree not to:

  • Use the Service unlawfully, or to access data you're not authorized to access.
  • Attempt to breach, probe, or disrupt the Service's security, or access it in an automated or bulk way we haven't authorized.
  • Reverse-engineer, resell, or copy the Service except as the law allows.
  • Interfere with other users or misuse the Service to harm anyone.

6. Your data

Your data is yours. You grant us the limited permission needed to store and process it in order to provide the Service to you, nothing more. How we handle it is described in our Privacy Policy. You can delete your data at any time from Settings → Data & privacy.

7. Fees, subscription & refunds

Black Hills Pro is a paid subscription. At signup you choose a plan (Essentials, Professional, or Enterprise) and a billing cycle (monthly or annual) and start a 14-day free trial. We collect a payment method up front but do not charge it during the trial; if you cancel before the trial ends, you are not charged.

  • Billing. After the trial, your plan renews automatically each cycle at the price shown at checkout, using your payment method on file, until you cancel. Prices may change with notice; a change applies to your next renewal.
  • Cancellation. Cancel anytime from Settings → Plan & billing. You keep access until the end of the current paid period; we do not prorate a partial cycle.
  • Plan changes. Upgrades and downgrades are prorated automatically by our payment processor.

Refunds

  • Monthly plans: no refunds. Cancel anytime and keep access until the period ends.
  • Annual plans: a 14-day money-back guarantee from the date of the annual charge. After 14 days, the annual term is non-refundable.
  • Our fault: if a bug on our side caused materially wrong profit data, or the Service never worked for you (no sync, no data), we will refund or credit you, no questions asked.
  • Billing errors: duplicate charges and billing mistakes are always refunded.
  • We do not offer refunds simply for changing your mind after the applicable window (the 14-day trial on monthly plans, or the 14-day money-back window on annual plans).

If a charge looks wrong, email support@blackhillspro.com first, we resolve legitimate billing issues quickly. If a chargeback is filed without contacting us, we may dispute it using our records of your account usage and access.

8. Availability & changes

The Service is offered on an early-access basis. We may add, change, or remove features, and we may have downtime for maintenance or reasons beyond our control. We'll try to give notice of significant changes, but we don't guarantee uninterrupted availability.

9. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, to the fullest extent the law allows. We don't warrant that the Service will be error-free, uninterrupted, or that every figure is exact, some are estimates, and third-party data (including Amazon's) can be delayed or incomplete. You're responsible for your own business and tax decisions.

10. Limitation of liability

To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, or consequential damages, or for lost profits, revenue, or data, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the total amount you paid us in the 12 months before the event giving rise to the claim.

11. Termination

  • You can stop using the Service and delete your account at any time.
  • We may suspend or terminate access if you breach these terms or use the Service in a way that risks harm to it or others.
  • On termination, your right to use the Service ends. You can delete your data before you go, and deleting your account removes it as described in the Privacy Policy.

12. Governing law & disputes

These terms are governed by the laws of the Kingdom of Thailand, without regard to conflict-of-laws rules. Any dispute will be handled in the courts of Bangkok, Thailand, unless the law gives you a non-waivable right to another venue.

13. Changes to these terms

We may update these terms. We'll change the date at the top and, for material changes, notify you in the app or by email. Continuing to use the Service after a change means you accept the updated terms.
